Consortium proposes to privatise Yinson for RM2.50 per share

PETALING JAYA: A consortium comprising Yinson

Legacy Sdn Bhd (YLSB), MISC Bhd

(MISC), and the Employees Provident Fund Board (EPF) has submitted a formal proposal to acquire all remaining shares in Yinson Holdings Bhd for RM2.50 per share in cash.

The offer price values Yinson at about RM8bil.

In a filing with Bursa Malaysia, Yinson noted the acquisition will be executed through special purpose vehicle, MY Offshore Holdings Sdn Bhd (MYOHSB), which will be equally owned by YLSB and MISC with a 41.464% stake each and the EPF with the remaining 17.07%.

The cash offer price of RM2.50 represents a 16.28% premium over Yinson’s last traded price of RM2.15 on Aug 28, 2026 (the last trading day before discussions were first disclosed) and a 30.14% premium over its three-month volume-weighted average market price.

The offer values Yinson at an implied enterprise value to EBITDA multiple of 8.72 times and an implied price-to-book ratio of 1.36 times based on its financial performance for the period ended July 31, 2026.

The consortium intends to delist Yinson from the Main Market of Bursa Malaysia.

The proposal highlights that Yinson’s core offshore energy infrastructure business demands long project cycles, heavy capital expenditure and long-term funding.

Transitioning into a private entity will offer the floating production storage and offloading (FPSO) vessel owner greater strategic and financial flexibility without the short-term market pressures associated with a public listing.

The filing added the alliance also opens opportunities for operational and commercial synergies between Yinson and MISC in the global energy infrastructure sector.

The proposal is subject to shareholder approval, High Court sanction, and merger control clearances across several jurisdictions, including Angola, Brazil, Nigeria, Vietnam, and the European Union.
